Villanova Tax Experts Break Down Legislative Changes, Best Practices Before Filing Deadline

It's time to collect your W-2s, 1098s and 1099s: On April 15, Americans are required to submit their annual tax returns—recapping earnings, income and life events from the past calendar year. Yet, as filers prepare their records and statements for 2025, they should anticipate some substantial departures from the 2024 season. According to Stephen Olsen, JD, faculty director of the Graduate Tax Program at Villanova University Charles Widger School of Law, and Luke Watson, PhD, associate professor of Accounting in the Villanova School of Business, one of the most significant drivers of change is the One Big Beautiful Bill Act (OBBBA), signed into law on July 4, 2025. A sweeping piece of legislation, OBBBA has instituted a number of new tax rules and regulations, including a deduction of $6,000 for taxpayers over 65 years of age, a deduction for certain overtime payments up to $12,500, a deduction for certain tips up to $25,000 and an increase in the state and local tax (SALT) deduction cap from $10,000 to $40,000. Given these policies, most taxpayers should expect a modest decrease in taxes owed this season, and refunds on average should trend higher than in 2025—something borne out by early data from the U.S. Department of Treasury. Of course, the full extent and range of the windfalls have yet to be discovered. "It is unclear if the average refund will be as high as estimated by the administration or what the actual distribution of those tax benefits will be," says Professor Olsen. "Not every taxpayer will receive a significant benefit, and there are so many factors that could cause someone's tax bill to increase, including increased taxable income, the loss of other deductions, changes in filing status and claimed dependents." "There are also many restrictions and phaseouts that changed with OBBBA," adds Dr. Watson. "For example, many seniors and tipped workers paid little to no income tax even under prior law, so they would not necessarily see much benefit with the new legislation." As Dr. Watson's remarks reflect, the question of who exactly qualifies for and benefits from OBBBA's provisions has preoccupied the general public for quite some time. In particular, the deduction-related measure tied to tips, or the "no tax on tips" policy, has sparked curiosity. "Like many things in the Internal Revenue Code, 'no tax on tips' sounds simple, but the actual law is a bit more nuanced," says Professor Olsen. "Only workers who are in an occupation that 'customarily and regularly' receives tips qualify for this deduction. This includes lots of people in transportation, personal services and the food, beverage and hospitality industries—even some in entertainment. "Certain professions, including those in healthcare, law, accounting, financial services and consulting, will likely be prohibited from taking the deduction… Importantly, qualifying workers will need to be able to prove their tip income to take the deduction." "It is also worth noting that, due to the generally lower-wage nature of tipped jobs and the historical underreporting of tips on returns, many taxpayers earning tips paid little to no tax on tips in prior years," says Dr. Watson. "So, they would not experience much of a change under OBBBA." Navigating new provisions like this one, during a process and time already known for provoking anxiety, can be a daunting prospect for many taxpayers. What's more, administrative adjustments at the Internal Revenue Service (IRS) could potentially exacerbate levels of stress. "IRS staffing remains lower than in past years, which could impact customer service and processing of returns," says Professor Olsen. "In addition, the current administration has elected to eliminate the IRS Direct File tool for income taxes that was available last year. Taxpayers who used the tool last year will need to find other options for the preparation of their income tax returns." For those concerned about filing and worried about abiding by the new rules and regulations, Professor Olsen and Dr. Watson highlight the importance of remaining organized, maintaining a game plan and, if necessary, seeking assistance. "First, taxpayers should be proactive," says Professor Olsen. "Start gathering information as soon as possible and start the process of preparing your returns as early as possible. That will provide you with more time to troubleshoot issues or find other information you may not have initially gathered." "Free resources are also available for taxpayers," says Dr. Watson. "There is a federal volunteer-run program called Volunteer Income Tax Assistance (VITA) that operates throughout communities to prepare tax returns for free, and many of the big tax prep companies do offer a free version of their software, despite trying very hard to sell a paid version. "That said, the best advice is to keep thorough tax and financial records throughout the year. Then, seek help—such as through VITA—when you need it. The better your records, the easier it will be for VITA or others to assist you."

Off-Channel Communications: How Financial Services Organizations Can Address Regulators’ Latest Target

Off-channel communications (OCC) occur when employees use unapproved and inadequately protected devices – such as personal cellphones – or applications to communicate with co-workers, counterparties and / or clients. Many financial services firms are required to maintain copies of all communications regarding their business, supervise the same, and produce them in response to regulatory requests. Firms cannot meet those compliance obligations when employees resort to unauthorized OCC for business-related matters. In charging 15 broker-dealers and one affiliated investment advisor in September 2022 with record-keeping violations, the SEC noted that its investigation uncovered employees at all levels of these firms who routinely used text messaging apps on their personal devices to discuss business matters between January 2018 and September 2021 [1]. The firms settled the charges and agreed to pay penalties totaling more than $1.1 billion. Just as important, the firms also agreed to engage independent compliance consultants to ensure the use of OCC meets regulatory standards as part of the settlements. In a related move [2],  the Commodity Futures Trading Commission (CFTC) ordered 11 financial institutions to pay more than $710 million for recordkeeping and supervision failures for widespread use of unapproved communication methods such as personal texts, WhatsApp, and Signal. Additionally, the Financial Industry Regulatory Authority (FINRA) has also taken action when it comes to OCC. Antonio Rega, digital forensics, data governance, privacy, security, emerging technology, and discovery expert with J.S. Held, observes, “While the current administration has loosened certain regulatory enforcement near-term, we continue to observe requests from clients in supporting management of “off-channel” communications, with a particular focus on 3rd party chat messaging platforms on mobile devices, such as Whatsapp. These inquiries include supporting corporate stakeholders with internal auditing of their organizational platforms, policies and procedures.” By implementing effective processes and utilizing software and outside experts to monitor and detect OCC, broker-dealers, investment advisers, and other financial institutions can reduce the risk of regulatory enforcement and penalties and ensure that they remain in compliance with regulations. Steve Strombelline, regulatory and enterprise risk management expert with J.S. Held adds, “Although concerns typically impact broker-dealers, firms outside of financial sectors are looking closely at their messaging processes as well, which is advisable." In addition to guaranteeing that these communications are properly documented and retained, the regulations are set up to prevent the use of OCC to manipulate securities transactions or commit fraud and to ensure that it is not used to violate any other securities laws. Firms’ supervisory procedures must be reasonably designed to detect for OCC when they monitor for such activity. The following article discusses the risks that OCC pose for financial services firms, especially as the SEC, FINRA, and the CFTC have made it clear that they are now targeting firms throughout the industry about their OCC to see if they are recording and preserving business information according to regulations. The piece also explains how firms, including broker-dealers of all sizes, should manage their OCC to ensure that they and their employees comply with federal securities laws and regulations. Finally, the authors address the complexity related to the collection of OCC in response to regulatory enforcement investigative requests. As the fines and settlements between those firms and the SEC exemplify, financial services firms of all sizes need to take this regulatory focus seriously and take the proactive step of engaging an independent third-party with expertise and experience in both digital forensics and compliance issues. ChristianaCare has received a $100,000 grant from JPMorgan Chase & Co. to launch a youth employment program to build a more diverse and inclusive health care workforce. “At ChristianaCare, we embrace diversity and show respect to everyone,” said Dia Williams Adams, MPA, vice president of philanthropy at ChristianaCare. “Providing exposure to health care careers at an early age and building pipelines to employment are key components to building strong and healthy communities. We are deeply grateful to JPMorgan Chase for its generosity and commitment to inclusion and diversity.” The program, Health Impacts, is a year-long pilot program designed to connect youth ages 16 to 18 from low-to-moderate income households within the Greater Wilmington area to career opportunities in health care. The training program will be followed by a nine-month paid internship that culminates with employment opportunities at ChristianaCare. #Expert Insight: US Firms 20 Years Out of Date on Customer Diversity

Diversity, equity, and inclusion have steadfastly risen to the top of corporate agendas in the U.S. and elsewhere over the course of the last few years. From 2022, all 100 of the Fortune 100 companies had clearly-defined diversity, equity, and inclusion (DEI) initiatives outlined on their websites—good news for their workforce, suppliers, and distributors. But what about their customers? A landmark new study by Goizueta Business School’s Omar Rodriguez-Vila finds that while intra-organizational DEI efforts are robust, many U.S. firms are lagging behind societal reality when it comes to fully representing diversity in their marketplace actions. Rodriguez-Vila finds that in terms of skin type, body type, and physical (dis)ability, actions by the top 50 American brands are a good 20 years behind the current demographic makeup of the country. Rodriguez-Vila, who is a professor in the practice of marketing at Goizueta, has teamed with Dionne Nickerson of the University of Indiana’s Kelley School of Business, and Sundar Bharadwaj of The University of Georgia’s Terry College of Business, to measure brand inclusivity; a term that he and his colleagues have coined to describe how well brands serve underrepresented consumer communities. Inclusive brands, he says, are those that “enhance consumers’ perceptions of acceptance, belonging, equity, and respect through their actions and market offerings.” To assess how well some of the biggest firms are doing in terms of this kind of marketplace inclusivity, Rodriguez-Vila worked with a team of full-time MBA and undergraduate students[1] to assess the 50 most valuable brands across 10 consumer-facing industries. Using machine learning and human coders they analyzed these brands’ social media posts on Facebook, Instagram, and TikTok, looking for patterns of representational diversity across four measures: skin type; body type; hair type; and physical ability. Altogether, they processed just short of 11,000 social media posts made between June 2021 and July 2022. What they find is stunning. “We used our data to apply the Simpson’s Diversity Index (SDI) to the population of social media posts by the largest brands in the United States. The SDI is a commonly used equation to measure the diversity of a population,” says Rodriguez-Vila. According to the 2020 U.S. Census, the racial diversity index of the country is 61 percent, and has been consistently increasing over the past 20 years. Applying the SDI calculation to measure the diversity in social media messages is a novel idea and one that provides clarity on the state of inclusion in brand communications, he adds. We found that the racial diversity index of social media messages by the top U.S. brands was just 41%. The last time the racial diversity index was in that range was in the year 2000. Omar Rodriguez-Vila In other words, the racial diversity these brands are collectively representing in their messages is 20 years behind the reality of the country. Interestingly, this lag between representation and demographic reality is common to brands in virtually all of the industries studied—from airlines to fashion, consumer packaged goods to financial services, hospitality to retail. The only sector that bucks the trend in any substantive way, he says, is beauty; even then this is likely only because beauty firms have come under fire for underrepresenting Black and non-white customers in the recent past. “Brands’ social media is typically more nuanced and comprehensive than advertising, so it’s more telling as a measure of what they prioritize. And by this measure, we’re seeing systemic bias across a majority of industries,” says Rodriguez-Vila. “Some, like beauty, fare better than others, but then beauty arguably has the strongest business case for diversity.” That being said, there is a robust business case for organizations across all industries to do better in marketplace inclusion. Not only does representational diversity have the potential to open up new markets, new customer bases, and areas for expansion, but “Feeling represented and included matters to everyone,” says Rodriguez-Vila. “To understand the importance of inclusion to customers we used a discrete choice model where people made trade-offs between price and a collection of product features in order to understand the factors that motivated them to make a purchase,” he explains. “We tested a sample of consumers looking to buy sportswear, and we added representation of diversity and inclusion as a characteristic, to see if it had any impact on their choices.” Again, the results are stunning. On average, 51 percent of customers took inclusion into account as a primary driver of athletic apparel choices. Inclusion was a priority driver of choice among 38 percent of consumers in historically well-represented communities—slim, white, able-bodied people. When Rodriguez-Vila and his colleagues expanded the analysis to other historically under-represented groups they found a significantly greater impact. Here, inclusion was a primary driver among 61 percent of plus-size, Black consumers and for 87 percent of consumers that identified as non-binary. In other words, inclusion can be a critically important factor to a majority of customers who are making decisions about whether to purchase products and services, or not. Expert Says Financial Technologies Can Help Address Climate Change

“Financial technologies offer great promise to tackle climate change and provide pathways for developing sustainable economies and lifestyles,” says Aparna Gupta, a professor of quantitative finance at Rensselaer Polytechnic Institute and co-director of the Center for Research toward Advancing Financial Technologies (CRAFT), the first-ever fintech research center backed by the National Science Foundation. CRAFT brings together industry partners and policy makers to conduct research that is relevant for industry and has potential for commercialization. Dr. Gupta says that blockchain technologies combined with smart contracts and Internet of Things (IoT) devices are set to transform property and casualty insurance that is subject to increasing threats from climate change. Similarly, distributed ledger technologies can be utilized for issuing innovative climate finance securities, such as green bonds and climate derivatives, by facilitating traceable, transparent, and standardized transactions. Regulatory readiness to support blockchain-enabled green bonds and other climate finance securities issuance is underway across the globe. Climate fintech is also set to play a pivotal role in increasing renewable power generation and accelerating the transition to clean energy, according to Dr. Gupta. Digital lending platforms use crowdsourcing models to provide debt financing for residential solar energy systems. Climate-conscious consumers can make spending decisions that minimize their carbon footprint through solutions such as using a credit card that allows them to round up their purchases and use the change for planting trees. In the investment management and advisory space, there is a growing recognition of the need for environmentally sustainable investing. Responding to this need, fintech startups are offering platforms for clean energy investments and enabling investors to construct low-carbon-impact financial portfolios. “Financial technologies innovations are poised to transform almost all aspects of financial services, and in doing so, offer great opportunities to address climate change challenges,” Dr. Gupta says. In addition to her leadership in fintech, Dr. Gupta is at the helm of a team of financial and renewable energy experts developing risk management tools to incorporate renewable energy into the energy market. They will set and standardize risk factors to make it easier for this critical industry to be both productive for investors and creators and systematized for users, similar to the rating system created for the bond market. Dr. Gupta also serves on the Climate Risk Working Group of the Financial Risk Manager Advisory Committee for the Global Association of Risk Professionals tasked with identifying the important climate issues for the training of future global risk professionals.
