Digital Contracting Is Broken. A Little "Friction" Could Go a Long Way in Fixing It
In mid-October, the Federal Trade Commission (FTC) announced a final “click-to-cancel” rule, which, after its provisions go into effect, will make it easier for consumers to cancel recurring memberships and subscriptions. The rule is an undoubtable victory for consumers who have run into roadblocks attempting to protect their wallets amid the flurry of oversubscription in today’s world, but it also begets an important question: Why is oversubscription occurring in the first place? “One important reason for that problem is that getting into contracts is frictionless, it’s too easy,” said Brett Frischmann, JD, the Charles Widger Endowed Professor in Law, Business and Economics in Villanova University’s Charles Widger School of Law. “The FTC is addressing a real concern in making it easier for people to exit agreements of this sort. But while making it as easy to unsubscribe as to subscribe sounds great – we all like even playing fields and symmetry – it might be better to also make subscribing a little more burdensome, so people understand what they are getting themselves into in the first place.” This idea is the focus of Frischmann’s recent paper, titled "Better Digital Contracts with Prosocial Friction-in-Design," the publication of which coincides with public dissatisfaction over digital contracting processes. In August, Disney attempted to have a wrongful death lawsuit blocked, citing print in terms and conditions from a one-month Disney+ free trial the plaintiff signed up for in 2019. Since then, other companies have succeeded in recently blocking the commencement of similar lawsuits. In the research, Frischmann and his co-author, Rice University computer scientist Moshe Vardi, describe these contracts as “dehumanizing” and that they “undermine human autonomy and sociality, by design,” citing how they elicit behavior in a pre-determined manner (such as clicking on cue) and often include side agreements with other entities, unbeknownst to the users. “One-click” contracts rely on legal fictions, such as presuming that clicking an “I have read the terms and conditions” button actually means that they have. They are structured this way intentionally. “The idea behind digital contracting is ‘Let’s make the contract as quick as possible before people leave or change their mind,” Frischmann said. “They only want to do the minimum that the law requires, and all the law requires is notice of terms and action that says, ‘I agree.’” For these reasons, he argues, modern digital contracting contradicts the purpose of contract law in the first place; enabling people to reach genuine agreements and cooperate. “It’s antithetical to the underlying values of a contract,” Frischmann said. “Autonomy is undermined because people are not able to exercise autonomy in a meaningful way when they are not actually capable of deliberating about the terms to which they are agreeing. As for being cooperative, there is no relationship. Digital contracts are completely one-sided.” So what can be done to combat this? “Speedbumps,” Frischmann says, referring to measures that can cause friction in the contracting process to better protect the user. Physical road speedbumps represent a useful analogy, because while they make things slightly more inconvenient for the user, they are deployed strategically where other values are at stake, like the safety of children playing outside. “People tolerate speedbumps,” Frischmann says, “because they serve a social purpose. Friction in digital contracts is similar.” With respect to improving digital contracting, there are multiple measures that can be taken that inherently have such friction, but not all of them are always appropriate. Completely Automated Public Turing Test to Tell Computers and Humans Apart (CAPTCHAs), for example, are a type of friction-in-design that serve a useful social purpose (security) and have become normalized and tolerated, but some CAPTCHAs are ableist and others may generate proprietary data. Where he sees the most beneficial friction existing is in comprehension, which in software form could be completing a task or passing a test to prove an individual understands the agreement. Comprehension is the basis for one of Frischmann’s proposed alterations to contract law. Currently, the oft-criticized concept of informed consent is utilized. He argues it should be replaced with demonstrably informed consent, in essence requiring entities to further show that people truly comprehend what they are agreeing to. “Right now, individuals assent to contracts, going along with terms someone else insisted upon,” he said. “But assenting to terms is very different than being informed and consenting. To demand demonstrably informed consent shifts the burden on the provider to generate evidence showing in fact a person understood and agreed.” In the recent Disney case, for example, demonstrably informed consent would have required not just clicking an agreement when signing up for Disney+, but that Disney somehow explained to an individual that if they sign up for a free trial, they cannot take the company to court, and further generating reliable evidence that the individual understood that. If that were the case, perhaps the individual would not have signed up. “Or, they may not have ever gone to the Disney park if they had [signed up],” Frischmann said. This proposed change in contract law, along with the various potential methods of engineered friction in digital contracts all circle back to the same goal: slowing down contracting where it affects people in ways they do not understand. “You can’t have digital contracting built like a highway, where it’s all as fast as possible all the time,” Frischmann said. “For our digitally networked environment, it needs to be built like a neighborhood.”
PACs ... What Are They and How Do They Work?
Political Action Committees (PACs) are organizations that collect and donate money to political candidates, parties, or causes. However, they are also a source of controversy, with critics arguing that they can lead to undue influence from wealthy donors and special interest groups over elected officials. EU-UK Trade Deal continues to stifle trade with 27% drop in exports since 2021
New report shows persistent stifling effects of the impact of the Trade and Cooperation Agreement on UK-EU trade relations Monthly data show a 27% drop in UK exports and a 32% reduction in imports to and from the EU between 2021 and 2023 Recommendations for policy interventions include to negotiate sector-specific deals, engage with individual EU countries, and work on reducing non-tariff barriers A comprehensive analysis by researchers at the Centre for Business Prosperity at Aston University reveals that negative impacts of the UK-EU Trade and Cooperation Agreement (TCA) have intensified over time. The new report, Unbound: UK Trade Post Brexit, also shows a 33% reduction in the variety of goods exported, with the agricultural, textiles, clothing and materials sectors most affected. To assess the impact of the UK-EU TCA, the authors analysed monthly import and export between the UK and the EU, from January 2017 to December 2023 and separated into pre- and post-January 2021 when the agreement came into force. The monthly data shows a 27% drop in UK exports and a 32% decline in imports from the EU. Lead author, Professor Jun Du of Aston University says: “The Trade and Cooperation Agreement introduced substantial barriers and there are ongoing and marked declines in the value and variety of UK exports and imports. Without urgent policy interventions, the UK’s economic position and place in the global market will continue to weaken.” The UK-EU TCA redefined trade and investment rules and market access between the UK and the EU. Since it came into force, the UK government has negotiated several trade agreements, but the EU remains the UK’s largest trade partner. Exports for most sectors have decreased since January 2021, although the impact is varied. Agrifood, textile and clothing and material-based manufacturing have been among the hardest hit, with substantial declines in both export value and the variety of products exported. At the same time, some sectors such as tobacco, railway and aircraft manufacturing have seen modest increases in varieties of products exported. On the import side, most sectors have shrunk in both value and variety, particularly agrifood products, optical, textile and material-based manufacturing. A few sectors, for example, ships and furniture, have demonstrated noticeable increases in import product variety. The large variations across different goods categories and EU trade partners underscore the uneven effects of Brexit and the TCA on UK-EU trade dynamics, highlighting the need to understand the nuances and come up with tailored strategies that address the unique challenges of each sector within the new regulatory environment. The researchers make recommendations, outlining how sector-specific negotiations, streamlining customs procedures with digital technologies and reducing regulatory divergence could mitigate some of the impacts. Dr Oleksandr Shepotylo, the report’s co-author says: “Our findings indicate a decoupling of the UK from key EU final goods markets, accompanied by a shift in UK supply chains toward geographically closer EU trading partners for exports and smaller countries for imports. “This shift raises concerns and underscores the urgent need for a strategic reconfiguration of UK supply chains to maintain competitiveness.” Professor Du continues: “The TCA has introduced considerable barriers to UK-EU trade, particularly through increased Non-tariff measures (NTMs). “Addressing these issues through targeted improvements to the TCA is crucial to ensuring that UK businesses remain competitive in the European market. Industry and researchers call for action to tackle climate impact of organic, carbon-based chemicals
Call led by members of Supergen Bioenergy Hub, based at Aston University They highlight that carbon-based chemicals cannot be decarbonised but can be defossilised They want a transition to renewable carbon sources such as biomass, recycled carbon, and carbon dioxide. Director of Supergen Bioenergy Hub, Professor Patricia Thornley Industry experts and university researchers have joined together to ask the government to address the climate impact of organic, carbon-based chemicals. While demand for fossil fuels as energy is expected to fall in the coming decades, the petrochemicals sector is set to grow significantly according to experts and is set out in a 2018 report by the International Energy Agency. Members of the Supergen Bioenergy Hub which is based at Aston University and the Biomass Biorefinery Network believe the issue has yet to receive proper attention and is calling for a strategy that addresses this key component of our greenhouse gas emissions. They want a move to a more circular economy, managing supply and demand levels and transitioning away from fossil feedstocks which are raw materials required for some industrial processes. In their paper Carbon for chemicals How can biomass contribute to the defossilisation of the chemicals sector? they highlight that carbon-based chemicals cannot be decarbonised but can be defossilised through a transition to renewable carbon sources such as biomass, recycled carbon and carbon dioxide. Many products in modern society contain carbon such as pharmaceuticals, plastics, textiles, food additives, cosmetics, and cleaning products. These chemicals are derived from fossil feedstocks, so they are classed as petrochemicals. As a result, they contribute to global greenhouse gas emissions and climate change. Carbon is embedded in organic chemical products and released when they break down at end-of-life, for example through incineration. To address the emissions from carbon in chemicals and accelerate the development of bio-based chemicals, the group want a cross-party consensus to support a sustainable chemical system. Director of Supergen Bioenergy Hub, Professor Patricia Thornley, said: “We need to consider the UK’s future feedstock and chemicals production and use, and how it relates to net zero, agriculture, environment, economy, trade, and just transition policy objectives. There are opportunities here for the UK to lead the way on sustainable chemical production, but we need to carefully plan a roadmap for the transition, that delivers opportunities around jobs and the economy as well as sustainable greenhouse gas reductions. “There is a definite role for biomass here. But it is essential that any future use of biomass in the chemicals sector is underpinned by rigorous, trusted, and enforceable sustainability governance to build confidence, deliver sustainability benefits, and minimise negative impacts. That requires improvements in sustainability governance and regulation. “We think there are real economic and trade opportunities by the UK accelerating sustainable chemicals. At the moment bio-based chemicals, and chemicals derived from other renewable carbon sources, are not being expanded in the UK because there are no explicit incentives that prioritise them over fossil-based production.” The group argues that the UK has significant academic and industrial research expertise to underpin the development of sustainable bio-based products and could be a global leader in bio-based products and sustainability governance. They believe that to date little of this has manifested as UK-based scale-up and manufacturing, whilst there are numerous examples of UK-led research being scaled up elsewhere. Saving Lives, One Device at a Time: Clinical Engineering
Behind every health care provider, or perhaps already in the palms of their hands, is a piece of equipment necessary to their patient’s health and survival. Modern medical treatment relies on complex equipment to keep patients alive and healthy during procedures and recovery. Take live-saving equipment such as telemetry monitors, MRI machines and ventilators as just a few examples. But what happens when all that equipment needs repair? Enter ChristianaCare’s clinical engineering technicians. This team of 35 employees — one of the largest clinical engineering teams in the nation — is responsible for overseeing the care, testing and repair of the roughly 50,000 pieces of medical equipment in use throughout the ChristianaCare system. The Clinical Engineering team is overseen by Director Blake Collins, MBA, CBET, CHTM, nationally recognized for excellence in the profession. He brings two decades of experience as a clinical engineer in the United States Navy, seven of which were served with the U.S. Marine Corps, to his role. His team has won numerous trade industry awards for its success as a “solutions provider” for the health system. "Think of health care as a triangle,” said Collins. “You have the patient, the provider and the equipment. You can’t have successful health care delivery without those three elements.” Begun in the 1970s as the hospital system’s “TV repair shop,” he joked, the Clinical Engineering department evolved dramatically after subsequent national developments in electrical safety testing and oversight for the care and functionality of medical equipment. ‘Everyone truly cares’ Today, the Clinical Engineering department maintains close to 50,000 pieces of medical equipment throughout the ChristianaCare system, including its three hospitals and all its imaging centers. “From thermometers to linear accelerators, MRIs, CTs — we manage all of it,” Collins said. Last year, the team completed 25,000 work orders, or roughly 2,100 per month. “We get to help people in so many different ways,” said John Learish, Clinical Engineering manager. Samantha Daws, Clinical Engineering supervisor, echoed the sentiment. “The Clinical Engineering Department within ChristianaCare is the most talented group of technicians I have ever had the privilege to work with,” she said. “Everyone truly cares about keeping the equipment working to ensure all caregivers have what is needed to provide quality health care to our community.” Saving lives, one device at a time What’s so important about what Clinical Engineering offers to ChristianaCare? In short: Anyone could need medical care at any time, and if medical equipment were out of commission or wrongly calibrated, lives would be at stake. Collins recalls a pivotal moment during his tenure in the Navy, when he needed an emergency appendectomy while stationed on board an aircraft carrier. “I was the only biomedical technician on the ship,” he said. “And the doctor doing the procedure asked me, jokingly, ‘Hey Collins, is this equipment going to work?’ “He was kidding, but it’s true that we never know when we or a loved one is going to end up under the equipment that we work on as engineers.” This experience gained new significance for Collins after successful open-heart surgery at ChristianaCare in 2022 — followed by his mother, who had the same procedure, also successfully, in 2023. “I had not one inkling or shadow of a doubt that the equipment was going to work fine,” he said. “You never know who will end up needing care. So we take it very, very seriously.” Icon in the field For his outstanding service as Director of Clinical Engineering at ChristianaCare, Collins was presented with the 2024 John D. Hughes Iconoclast Award from the Association for the Advancement of Medical Instrumentation (AAMI), a career-marking honor in health care technology management. The award recognizes innovation and leadership in the field; for Collins, it shows how well the Clinical Engineering team works together to deliver safe medical equipment across the ChristianaCare system. “Blake has been a relentless advocate for ChristianaCare,” read his nomination. “He has implemented numerous initiatives and processes to improve his department … and work smarter through the use of technology and automation.” The next time you see a ChristianaCare provider pick up an instrument or turn on a machine, think about the Clinical Engineering team — and rest assured that your equipment is ready to go.
Those last days of summer: How to entertain your kids before the break ends

University of Delaware expert Roberta Golinkoff has you covered. Golinkoff is an education professor in the fields of education and psychology with over 30 years of experience in childhood education. Work with others in your neighborhood in the same boat to create an at home day camp. What happens at day camps can be duplicated at home. Consider how they work. Peers get together under the supervision of a young adult and engage in outdoor activities such as foot races and ball games and indoor activities such as arts and crafts. Camps are hotbeds for playful learning – the way that children learn best. Making a tentative agenda for kids with other parents in the same boat will be invaluable. But there is no room for a rigid schedule! Time has to be flexible. During the regular year when parents are rushing hither and yon, there is little time to stop and let the action continue. But the summer changes all that. Discoveries like hungry turtles in a nearby pond can be a delight for children. Even if you can’t find a teen helper or another parent to trade off with, you can engage your children in many activities they will love. Limited screen time can be beneficial. There is nothing wrong with playing with apps or watching television as long as parents make sure the content is appropriate for the age of their children. There are shows that amuse children and that they can learn from – Sesame Street and Reading Rainbow are prime examples. And parents can build on these shows by asking children to design the next episode, “What would happen if Peppa Pig couldn’t find a playmate?” or draw pictures showing the characters at the beach! A new website called Stories with Clever Hedgehog and designed in Ukrainian for Ukrainian children suffering from the war is also available in English. Designed by developmental psychologists – including Golinkoff herself – has numerous activities such as games, songs, art, fun facts for children to enjoy. But media that takes place indoors should just be used as cool down periods and even then only briefly, or on rainy days. Luxurious breezes, sunshine, and physical activities are what summer is meant for. Boredom is ok. Boredom is not a bad thing and can be a time for reflection and inner growth. Ask children to think about what they want to do next and make a plan for the rest of the day. Ask children to come up with a brand new activity that other kids would like.
